Changing the corporate structure

Let's talk

Business transformation is a critical process that can bring about progressive change and new opportunities for growth. It is a difficult but necessary step, often driven by market dynamics.

Through our legal services, we identify and eliminate business inefficiencies and help companies optimise their structures. We work closely with our clients on complex corporate restructuring projects ranging from the reorganisation of local companies, including mergers, spin-offs, demergers, restructurings, integration of subsidiaries and branches, to the sale of a business.

For the business sector, we can assist with:

  • Corporate reorganisations: mergers, amalgamations, spin-offs.
  • Restructuring.
  • Liquidation.
  • Sale of a company.

Restructuring the company

Restructuring is a common legal procedure in the business world due to changes in business strategies, financial conditions and market dynamics.  It involves altering a company’s legal structure, with the new entity assuming all rights and obligations from the previous one (the company continues to operate, but in a different legal form). For example: a UAB may be converted into an MB, a sole proprietorship into a UAB.   We offer our clients legal advice on choosing the optimal form of legal entity that best suits the company’s objectives.

We also provide all services related to the process of transformation, prepare the necessary documentation for approval by the notary office, as well as provide advice throughout the entire process until its full implementation. We advise companies on employment law issues if the restructuring entails downsizing, relocation or changes in employment relations.

Company reorganisation

A corporate reorganisation is a process that allows a legal entity to be dissolved without going into liquidation and is often used to optimise business operations. It provides an opportunity to reorganise company processes in order to simplify corporate governance structures.

The essence of a reorganisation is that the process usually results in the dissolution of the original legal entity, either by merging with another company or by transferring its legal personality to other entities.

Every reorganisation process starts with the preparation of the terms of reorganisation, which is the main document that defines the reorganisation process.

At Prevence, we specialise in delivering extensive services and expert guidance in the area of corporate reorganization. We’re here to offer you comprehensive support every step of the way.

Buying and selling a business

Selling a business is a complex process that requires careful planning, legal understanding and a strategic approach. The independence of the business is a key factor valued by potential investors. If the value of the company is closely linked to the shareholder’s know-how, this may reduce its attractiveness in the market. At an early stage of a sale, it is important to consider who the potential buyer might be and what differentiates the company from competitors. Buyers are looking for assurances that the investment will be profitable, so it is important to carry out legal and financial due diligence. It should also be assessed whether the company is structured in a saleable way and whether there are any problems with acquisition documents, permits or national security requirements.

We will assist you in developing a tailor-made strategy for the sale of the company, prepare all the necessary documentation for the company and coordinate the sale process and negotiations.
