Working with one of the strongest game industry teams in Lithuania – SneakyBox

Since 2018, we have been growing together with one of the strongest teams in Lithuania’s game industry – SneakyBox. This is not just a client, but a long-term partner with whom we have built a strong, trust-based collaboration over nearly a decade.

Today, SneakyBox unites more than 60 professionals developing technological solutions for world-class game publishers. Among its recent major achievements is Warhammer 40,000: Space Marine – Master Crafted Edition (PC, Xbox Series X|S), a modernization project commissioned by SEGA that became the largest and most complex in the company’s history. It required not only rewriting core technological components but also adapting the game for next-generation consoles.

Other significant projects include the Star Trek: Resurgence co-development, where the team contributed to everything from 3D modeling to game logic programming, and the Ritual of Raven adaptation for PC and Switch users.

SneakyBox is a premium co-development studio that helps create world-class games through its services. Its expertise covers multi-platform adaptation, remasters and remakes, 2D/3D and UI design, and full-cycle game development. The main areas of focus include game porting, co-development projects, 2D/3D design, UX/UI solutions, and VR/AR product development.

Such a business model demands non-standard legal solutions and a deep understanding of the client’s market specifics.

How we contribute

🔹 Contracts with developers, publishers, and technical partners

Commercial relationships in the game industry are rarely simple – one contract often involves multiple technological layers, intellectual property objects, and business models. Therefore, our legal work in this field is not about “creating a template” but about understanding how the industry itself operates.

We work with development, co-development, publishing, porting, and outsourcing agreements, ensuring proper regulation of:

– intellectual property transfer and licensing terms, including sublicensing, territorial or platform restrictions,
– warranties (e.g., that the game is free of IP defects and all assets were lawfully acquired),
– commercial terms: pricing, revenue-share models, payment schedules, audit rights,
– marketing and publicity obligations,
– SLA and maintenance obligations (e.g., Gold Master delivery, bug fixes),
– confidentiality clauses,
– contract duration, termination, and exit terms.

In some cases, clients participate as publishers; in others, as developers transferring game rights to third parties to ensure wide release and audience reach. Such situations require clear legal structuring of matters like distribution channels (e.g., digital stores), revenue sharing, communication guidelines, maintenance commitments, and support for updates or DLCs.

We also prepare outsourcing or master services agreements, defining services (e.g., 3D modeling), delivery timelines, exclusive rights to creative outputs, IP transfer, and warranties of originality and lawful code or content usage.

🔹 Licensing nuances

Game content often involves composite elements: visuals, sound, UI, and code created by different contributors – each a separate IP unit. Our task is to align rights to these components, ensure proper transfer and use, including conditions for integration into derivative works (e.g., games), and safeguard their protection.

We also advise on sublicensing, white-label, exclusive, and non-exclusive licenses, which are common in publishing arrangements.

🔹 Day-to-day (corporate and employment law) matters

When working with developers, programmers, and freelancers — especially in teams exceeding 60+ — it’s vital to maintain clear internal frameworks:

– remote work policies,
– confidentiality obligations,
– equipment use and IT security rules,
– IP transfer provisions,
– internal policies ensuring compliance with employment law (e.g., harassment prevention, whistleblower protection).

🔹 Investments in game projects

In certain cases, SneakyBox also acts as an investor — contributing funds or work in exchange for revenue share or other partnership structures. Such models require particularly precise contractual arrangements.

🔹 International growth

We provide legal support for international expansion, helping structure group companies, define intra-group relationships, and ensure compliance across different jurisdictions.
