PassCamp Acquisition: A Technology M&A and Intellectual Property Transaction
Technology acquisitions rarely represent a single business decision. Behind them often lies a long product development journey, the expertise built by a team over time and the ability to create a solution with relevance far beyond its home market.
We are pleased to have advised on the acquisition of PassCamp, a Lithuanian-developed password management solution acquired by French cybersecurity company Hucency.
Over nearly a decade, PassCamp evolved from an ambitious idea into an internationally used product trusted by organisations including CyberGhost, Private Internet Access (PIA) and ReasonLabs. The acquisition will enable the technology developed in Lithuania to become part of a broader cybersecurity ecosystem serving more than 1,300 business customers across Europe.
The project also carries particular significance for our team.
At an early stage of PassCamp’s development, when the product was being built within our client Adeo Web as a pilot project, one of Prevence Legal’s founders, Edgaras Margevičius, advised on its legal matters. He was among those who recognised the product’s potential from the outset and believed that technology developed in Lithuania could be scaled internationally.
In connection with the transaction, our team advised the client and prepared the required documentation relating to the transfer of intellectual property rights, the acquisition of software and other legal matters relevant to technology transactions.
Deals of this kind demonstrate that technology developed in Lithuania can do more than compete successfully in global markets. It can become a strategically important part of the growth of international technology groups.
